Job Description
We are looking for a Corporate Paralegal to support the legal operations of a healthcare organization in San Antonio, Texas. This role partners closely with the Chief Legal Officer on contract oversight, legal research, governance matters, and document administration across a wide range of corporate and regulatory topics. The ideal candidate brings strong experience in commercial agreements, healthcare-related legal support, and the ability to manage sensitive information with precision and professionalism.
Responsibilities:
• Partner with the Chief Legal Officer to coordinate the review, organization, and ongoing administration of agreements such as vendor contracts, service arrangements, leases, affiliation documents, grant-related agreements, settlement documents, and renewals.
• Examine legal documents for accuracy and completeness, confirming that required exhibits, approval terms, indemnification language, insurance provisions, notice clauses, and execution authority are properly addressed.
• Create first-pass legal materials under attorney guidance, including draft agreements, redlined revisions, comparison matrices, issue trackers, concise summaries, and approval packets for leadership or board review.
• Perform legal and regulatory research related to healthcare operations, including federal program obligations, reimbursement matters, privacy and records issues, licensing requirements, nonprofit governance, and applicable Texas healthcare rules.
• Help manage responses to subpoenas, records requests, audits, agency inquiries, and complaints by tracking matters, gathering documentation, preparing logs and supporting affidavits, and coordinating with internal stakeholders.
• Contribute to compliance and risk-related initiatives through policy review, research support, incident documentation, follow-up on corrective actions, committee preparation, and maintenance of confidential legal files.
• Assist with real estate and transactional projects by organizing due diligence materials, reviewing lease and purchase documentation, preparing closing-related records, and maintaining post-transaction files.
• Support corporate governance activities by assembling board and committee materials, maintaining resolutions and entity records, tracking officer and director documentation, and preserving signature authority files.
• Provide limited support for litigation-related matters when needed by organizing case records, compiling chronologies, collecting documents for discovery or subpoena responses, and coordinating with outside counsel.• Minimum of 5 years of paralegal experience with a strong focus on corporate, commercial contract, or legal transactional work.
• Demonstrated ability to review, draft, and manage a broad range of contracts and related legal documents with careful attention to detail.
• Knowledge of corporate governance practices, entity recordkeeping, and legal document control in a regulated business environment.
• Experience conducting legal and factual research, preferably in healthcare, nonprofit, or other highly regulated industries.
• Familiarity with matters involving compliance, records requests, subpoenas, audits, or agency responses.
• Strong organizational skills with the ability to manage multiple priorities, maintain confidentiality, and meet deadlines consistently.
• Proficiency in preparing summaries, redlines, issue lists, and other legal support materials for attorney and leadership review.
• Effective written and verbal communication skills with the ability to work collaboratively across legal, compliance, and operational teams.
