An established firm based in New York City, NY with over est. 25 years in practice is seeking a Corporate Associate Attorney with 2-3 years of relevant practice experience to join their growing corporate team. This role will focus on general corporate law, commercial transactions, mergers and acquisitions, business formation agreements, shareholder agreements, operating agreements, financing agreements, and commercial contracts, advising clients on a wide range of corporate and business matters while supporting transactional work across the firm.

Qualifications:
Juris Doctor (J.D.) from an accredited law school
2-3 years of relevant practice experience in general corporate law, commercial transactions, mergers and acquisitions, and contracts
Strong academic credentials
Excellent technical, written, and verbal communication skills
Ability to work collaboratively with attorneys across multiple practice areas to provide comprehensive client solutions
Experience drafting, reviewing, and revising commercial agreements, business formation documents, shareholder agreements, operating agreements, merger and acquisition agreements, and financing agreements
Responsibilities:
Assist the corporate team in all areas of corporate and commercial law
Draft, review, and revise commercial documents and agreements related to business formation, shareholder agreements, operating agreements, merger and acquisition agreements, and commercial contracts
Work closely with attorneys and clients on corporate and business issues involving M&A transactions, commercial contracts, shareholder and operating agreements, and financing agreements
Evaluate corporate policies and procedures for compliance with government regulations, industry standards, and ethical standards
Perform legal research on corporate matters and provide practical support on transactional and advisory projects
