Responsibilities & Tasks:
• Draft, revise, and manage commercial leases, lease amendments, purchase and sale agreements, easements, listing agreements, management agreements, guaranties, and other complex legal and transactional documents.
• Review and revise legal documents to accurately reflect negotiated business terms while ensuring consistency, clarity, and risk mitigation.
• Coordinate commercial real estate acquisitions, dispositions, leasing transactions, financings, and related due diligence activities.
• Identify contractual ambiguities, inconsistencies, unintended legal consequences, and business risks prior to document execution.
• Coordinate due diligence reviews including title commitments, surveys, environmental reports, property condition reports, estoppels, SNDAs, and corporate authority documentation.
• Assist executive leadership, brokerage, leasing, property management, and asset management teams with contract interpretation and transaction support.
• Prepare and maintain corporate governance documents including resolutions, consents, annual filings, and entity organizational records.
• Track critical contract dates, lease obligations, notice periods, renewal options, and transaction milestones.
• Develop, maintain, and update standard contract templates, legal forms, checklists, and transaction procedures.
• Serve as a primary liaison between internal departments and outside legal counsel.
• Organize and maintain electronic document management systems, transaction files, legal binders, and record retention programs.
• Coordinate document execution, closing deliverables, and post-closing requirements.
• Support Oklahoma Real Estate Commission (OREC) compliance, brokerage records management, and audit preparation.
• Evaluate insurance requirements, indemnification provisions, guaranties, default provisions, remedies, assignment clauses, and contractual liability exposure.
• Assist in reducing outside legal expenses through effective contract preparation, document management, and transaction coordination.
Specific Duties Continued:
The Senior Real Estate Paralegal & Contracts Manager will support all aspects of the Company's commercial real estate operations, including acquisitions, dispositions, leasing, brokerage, asset management, property management, risk management, and corporate governance. This position is responsible for ensuring transactions are properly documented, risks are identified before execution, and legal and operational records remain organized and accessible.
Requirements:
Education:
Associate's degree, Bachelor's degree, Paralegal Certificate, or equivalent professional experience is preferred but not required. Relevant experience in commercial real estate transactions, contract administration, legal operations, title services, corporate governance, or related fields will be considered in lieu of formal education.
Software:
Proficiency in Microsoft Office Suite (Word, Outlook, Excel, Teams) required.
