Key Responsibilities:

• Corporate Transactions: Assist in the management and execution of complex corporate transactions, including M& A, spin-offs, and other strategic initiatives. Ensure compliance with regulatory requirements and facilitate the approval process.
• Due Diligence: Conduct thorough due diligence for transactions, including reviewing and analyzing contracts, corporate records, and other critical documents to identify potential risks and liabilities.
• Compliance Matters: Support the legal team in maintaining compliance with relevant laws and regulations, including FDA, SEC, and other industry-specific guidelines. Assist in the development and implementation of compliance programs.
• Partner with Outside Counsel: Act as a liaison between the company and external legal counsel, ensuring effective communication and collaboration on various legal matters, including litigation, transactions, and regulatory issues.
• Contracts Management: Draft, review, and negotiate contracts with CROs, consultants, and other third parties. Ensure contracts are aligned with company policies and regulatory requirements.
• Intellectual Property: Assist with IP-related matters, including licensing agreements, patent filings, and trademark management. Ensure protection of the company's intellectual property assets.
• Fundraising: Support public equity financing efforts by assisting in the preparation of necessary legal documentation and ensuring compliance with securities laws.

Work Schedule:

The initial hours for this position will be 10-20 hours per week to facilitate a smooth transition with the current paralegal. Once the transition is complete and the current paralegal departs, the position will expand to a full-time role.

Qualifications:

• Bachelor’s degree or equivalent experience required; paralegal certification preferred.
• Minimum of 2 years of experience as a corporate paralegal, preferably in the pharmaceutical or biotech industry.
• Strong knowledge of corporate transactions, including M& A, spin-offs, and public equity financing.
• Familiarity with regulatory frameworks applicable to the pharmaceutical industry.
• Experience in managing contracts, particularly with CROs and consultants.
• Understanding of intellectual property law, particularly in licensing and patent filings.
• Excellent organizational skills and attention to detail.
• Strong communication skills, with the ability to collaborate effectively with internal teams and external counsel.
