Position Purpose:
As the General Counsel, you will be the cornerstone of AHC's legal operations, providing strategic legal counsel and ensuring the organization's compliance with all legal and regulatory requirements. You will play a pivotal role in managing legal risks, overseeing the legal function, and advising on all legal matters to support AHC's strategic initiatives and operational excellence.
Responsibilities:
Strategic Leadership and Governance:
- Collaborate with the President/CEO and senior leadership to develop and execute AHC's strategic plan, ensuring legal integrity and operational efficiency.
- Lead the legal department, setting strategic objectives, KPIs, and ensuring alignment with AHC's mission and values.
- Foster and maintain strong relationships with key stakeholders, including government agencies, community organizations, and industry partners.
Legal Oversight and Advisory:
- Develop and implement a robust corporate compliance program to mitigate legal risks and ensure adherence to laws and regulations.
- Manage outside counsel relationships, ensuring cost-effective and high-quality legal services.
- Oversee the review, negotiation, and management of contracts and leases to protect AHC's interests and facilitate business objectives.
- Manage the corporate entity structure, ensuring proper maintenance and compliance with local, state, and federal requirements.
- Handle insurance claims and renewals, ensuring AHC is adequately protected against potential risks.
- Provide strategic legal advice on a wide range of issues, including but not limited to contracts, litigation, business structure, capital formation, housing laws, intellectual property, and regulatory compliance.
- Oversee legal due diligence for property and other corporate-related acquisitions, and other transactions.
- Manage legal disputes, litigation, and claims, and represent AHC in legal proceedings as necessary.
Operational Excellence:
- Develop and manage the legal department's budget, ensuring it aligns with AHC's financial strategy and operational needs.
- Monitor and manage contract and lease tracking systems to ensure timely renewals, terminations, and compliance.
- Provide guidance on insurance coverage and risk management strategies to protect AHC's assets and interests.
Qualifications:
- Minimum of 15 years of progressive experience in legal affairs, with a strong preference for experience in a senior leadership role within the non-profit and affordable housing sectors.
- Juris Doctor degree from an accredited law school and active membership in good standing with the Bar.
- Exceptional legal writing and communication skills, with the ability to articulate complex legal concepts in a clear and actionable manner.
- Proven track record of strategic leadership and innovation in legal and risk management strategies.
- Ability to work effectively in a fast-paced environment and manage multiple priorities simultaneously.
